Terms of Use

Applies to the Praesto application. Effective October 6, 2026.

Plain-English Summary (Not a Substitute for the Terms)

These Terms are the agreement between you and Praesto Logica LLC ("Praesto Logica," "we," "us," or "our") for the use of Praesto, our study and meeting-assistant software. The headlines:

  • Praesto records audio you choose to capture, turns it into text, and uses AI to help you study and review. The AI can be wrong; you must verify anything important before relying on it.
  • The Service is available only to users located in the United States, and is not available to anyone located in Illinois.
  • You are responsible for getting the consent of other people before you record them. In a number of U.S. states, recording without the consent of everyone in the conversation is illegal; Section 4.2 lists them.
  • If you join a group conversation, content shared to the group is visible to the other members, and your quiz and practice answers are combined into group-level stats (never shown individually) that other members of the same group can see.
  • You must be at least 18 to use Praesto. Praesto is not available to anyone under 18.
  • Praesto has a free plan. The two paid plans are $9.99 and $12.99 a month, each with a free trial for new subscribers. A trial turns into a paid subscription by itself unless you cancel first, and a paid plan renews every month until you cancel. Section 11 has the detail, including how to cancel and when we refund.
  • Don't use Praesto to cheat, to capture other people's confidential or protected information without permission, or to do anything illegal.
  • If you have a dispute with us, it will be resolved in the state or federal courts in Fairfax County, Virginia, on an individual basis, not as a class action.

The full Terms below are the legally binding text and override this summary if they conflict.

1. Acceptance of These Terms

By creating a Praesto account, signing in to Praesto, or otherwise accessing or using Praesto (the "Service"), you agree to these Terms of Use ("Terms") and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not create an account and do not use the Service.

We may post these Terms inside the Service for you to review, and we may ask you to affirmatively accept them at account creation, at first login, or when we make material changes. Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of them, subject to Section 17 (Changes to These Terms).

2. Eligibility

2.1 Minimum Age (18+)

You must be at least 18 years old to access or use the Service. The Service is intended only for adults. If you are under 18, you may not create an account, sign in, or use the Service for any purpose, even with the consent of a parent or guardian.

2.2 Children Under 13

The Service is not directed to children under 13 and is not intended for their use. We do not knowingly collect personal information from children under 13. If we learn that we have collected information from a child under 13, we will delete it and terminate the account. If you believe a child under 13 has provided personal information to us, please contact us at [email protected].

2.3 Geographic Eligibility (United States Only; Illinois Excluded)

The Service is available only to users physically located in the United States, excluding the State of Illinois. You represent and warrant that, when you create an account and each time you access or use the Service, (a) you are physically located in the United States, and (b) you are not physically located in Illinois. We may use IP-based or other geolocation signals to verify and enforce this restriction, and we may suspend or terminate accounts that appear to be accessed from outside the eligible region. The Service is not offered in, and is not intended for users located in, the European Economic Area, the United Kingdom, Illinois, or any other jurisdiction outside the eligible region. We make no representation that the Service or any content within it is appropriate or available for use outside the eligible region.

2.4 Account Information

You agree that all information you provide to register and use the Service is accurate, current, and complete, and you will keep it updated. You are responsible for safeguarding your password and for all activity that occurs under your account. If you enable two-factor authentication, you are equally responsible for safeguarding your two-factor credentials (your authenticator app, your one-time recovery codes, and any backup phone number you enroll) and for keeping the enrolled phone number accurate and current. If you lose access to all of your second factors, you may be permanently locked out of your account; our support team cannot bypass two-factor authentication. By providing a phone number for two-factor authentication, you consent to receive sign-in codes by text message at that number; standard message and data rates may apply. Notify us at [email protected] immediately if you suspect unauthorized access.

3. Description of the Service

Praesto is software that helps you capture and study educational and professional content. The Service may include, depending on the platform and plan you use:

  • Audio capture from your device's microphone and, where supported, from your device's system audio output.
  • Automated speech recognition, with transcription performed on your device (on iPhone, iPad, and Mac, by the operating system's built-in speech recognition), as described in our Privacy Policy.
  • AI-generated summaries, flashcards, practice problems, topic maps, research outputs, and chat assistance derived from the transcripts, your notes, and the documents you upload.
  • Document upload, parsing, and retrieval (PDF, DOCX, CSV, TXT, MD, XLSX, XLS, PPTX), subject to a per-file cap of 30 MB and a per-conversation cap of 200 MB.
  • Note-taking, including typed and handwritten notes inserted into a conversation.
  • Slide and screen capture during recording sessions, where you have enabled this feature.
  • Storage of your content in your account, including synchronization between your devices and our cloud backend.
  • Optional two-factor authentication for your account, using an authenticator app, one-time recovery codes, and, if you choose, backup sign-in codes sent by text message to a phone number you enroll.
  • Group conversations, in which content designated for the group and derived, aggregated learning signals are shared among the members of that group (see Section 6.6).
  • Optional speaker support, which keeps a voice profile of your own voice on your device so the Service can tell your speech apart from other people's and show you measures of how you spoke (see Section 4.7 and Privacy Policy Section 14.3).

Features available to you may vary based on the platform (iOS, macOS, desktop), your device's capabilities, and any plan you have selected. We may add, remove, or modify features at any time, subject to Section 17.

4. Recording Consent and Your Responsibilities (IMPORTANT)

THIS SECTION DESCRIBES LEGAL OBLIGATIONS THAT APPLY TO YOU PERSONALLY WHEN YOU RECORD OTHER PEOPLE. READ IT CAREFULLY.

4.1 Your Responsibility to Obtain Consent

When you use the Service to record audio, video, system audio, or any other content that includes the voice, image, or words of another person, you are solely responsible for complying with all laws that apply to that recording. This includes federal, state, and local laws on wiretapping, eavesdropping, recording consent, electronic communications privacy, biometric privacy, classroom or workplace recording, and any rules of the institution where the recording occurs.

4.2 All-Party vs. One-Party Consent

Federal law and many U.S. states permit recording with the consent of one party to the conversation. However, the following U.S. jurisdictions generally require the consent of all parties to record a private conversation: California, Connecticut (in certain circumstances), Florida, Illinois, Maryland, Massachusetts, Michigan (in certain circumstances), Montana, Nevada (in certain circumstances), New Hampshire, Oregon, Pennsylvania, and Washington. The law in these jurisdictions changes from time to time, and similar rules may apply in other places. If any party to the conversation is located in one of these jurisdictions, all-party-consent rules may apply to your recording even if you are located elsewhere. If you are uncertain whether the consent of all parties is required, you must assume that it is and obtain that consent before recording.

4.3 System Audio Capture

When you enable system-audio capture, the Service records audio that is playing through your device, which may include the voices of remote participants on calls, videoconferences, or webinars. The legal obligations described in this Section 4 apply equally to system-audio recordings. You are responsible for confirming that all participants on a call or in a meeting have consented to the recording before you begin.

4.4 Lectures and Classrooms

If you record a class, lecture, seminar, or other instructional session, you are responsible for complying with the policies of the institution where it occurs. Many institutions require advance permission from the instructor and from any students whose voices may be captured. Recording a lecture without permission may violate the institution's academic integrity policies, copyright in the instructor's materials, or both.

4.5 Prohibited Recordings

You may not use the Service to record any conversation, communication, or content where doing so would be unlawful, or to record people in places where they have a reasonable expectation of privacy (such as restrooms, locker rooms, medical examinations, or private residences without consent). You may not use the Service to capture protected health information regulated by HIPAA, classified information, materials subject to attorney-client privilege belonging to another party, or other confidential information that you are not authorized to record or share.

4.6 Your Indemnity for Recordings

If a third party brings a claim against us based on a recording you made or caused to be made with the Service, you agree to defend, indemnify, and hold us harmless on the terms set out in Section 15.

4.7 Biometric Information

You acknowledge that audio recordings of human voices may, under certain U.S. state laws, constitute "biometric information," "biometric identifiers," or similar regulated categories. By using the Service, you authorize Praesto Logica to capture and process audio recordings on your device, and to transmit, store, and process the derived data (including transcripts) generated from them, solely for the purposes of providing the Service to you as described in these Terms and in our Privacy Policy. We do not sell, lease, trade, or otherwise profit from biometric information, and we do not use Your Content to train any general-purpose AI model. Audio is converted to text on your device (on iPhone, iPad, and Mac, by the operating system's built-in speech recognition), as described in our Privacy Policy. The Service is not offered to users located in Illinois (see Section 2.3), and you may not use the Service from Illinois. If we discover that an account is being accessed from Illinois, we may suspend or terminate that account and delete associated audio data.

If you turn on speaker support, the Service builds a voice profile of your own voice on your device, as described in Privacy Policy Section 14.3, after showing you a consent screen and recording your consent. The profile stays on your device, is never transmitted to us, and is used only to tell your speech apart from other people's in your conversations. You may enroll only your own voice. You may not enroll, or attempt to enroll, the voice of any other person, and you may not use speaker support to identify, track, or profile anyone. Speaker support is optional; you may use the Service without it, and you may delete the profile at any time by signing out of the app on that device, or, while speaker support is offered, in Profile, under Your voice & the room.

5. AI-Generated Content: No Reliance, No Advice

5.1 AI Outputs May Be Wrong

The Service uses third-party large language models and other artificial-intelligence systems to generate summaries, answers, study materials, research outputs, and other content (collectively, "AI Outputs"). AI Outputs are generated probabilistically and can be inaccurate, incomplete, biased, out of date, or fabricated. We do not guarantee the accuracy, completeness, currency, or fitness for any purpose of any AI Output.

5.2 Verify Before Relying

You should independently verify any AI Output before relying on it for any consequential decision, including academic, professional, medical, legal, financial, or safety-related decisions. AI Outputs are not a substitute for advice from a qualified professional. The Service does not provide medical, legal, financial, tax, accounting, or other professional advice.

5.3 Academic Integrity

Many schools, universities, and professional bodies restrict or prohibit the use of AI tools in coursework, assessments, and licensure exams. You are responsible for knowing and following the rules of your school, employer, or licensing authority. We do not authorize you to submit AI Outputs as your own original work where doing so would violate any applicable policy or law.

5.4 Sensitive Topics

You should not use the Service to obtain advice on, or to make decisions about, emergencies or matters that affect your health, safety, or legal rights. If you are in a crisis or in danger, contact local emergency services or a qualified professional.

6. Your Content

6.1 Definition

"Your Content" means the audio you capture, transcripts generated from that audio, notes you create, documents you upload, slides you capture, chat messages you send to the Service, and any other content you submit or generate through the Service.

6.2 Ownership

You retain all ownership rights you already have in Your Content. We do not claim ownership of Your Content.

6.3 License to Us

You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative works of Your Content solely to (a) operate, maintain, secure, and improve the Service for you, (b) provide the features you have enabled, including transcription, AI generation, search, and synchronization across your devices, (c) comply with law and enforce these Terms, and (d) in group conversations you join, aggregate your quiz and practice responses into group-level learning signals displayed to other members of that group, subject to the minimum-group-size protections described in our Privacy Policy. This license ends when you delete Your Content or your account, except (i) for content you have shared with others, who may retain copies, (ii) for content we are required to retain by law or for a reasonable time in our backups (as described in our Privacy Policy), and (iii) for de-identified or aggregated data that no longer identifies you.

6.4 No Use of Your Content to Train Third-Party AI Models

We do not use Your Content to train any general-purpose AI model. Where we send Your Content to a third-party AI provider for the sole purpose of generating an AI Output for you, we contractually require that provider not to use Your Content to train its models. See our Privacy Policy for the current list of providers.

6.5 Your Responsibilities for Your Content

You represent and warrant that (a) you own or have all rights necessary to submit Your Content to the Service, (b) Your Content does not infringe any third party's intellectual property, privacy, publicity, or other rights, (c) Your Content does not contain unlawful content, malware, or other harmful material, (d) you have obtained any consents required under Section 4 (Recording Consent) for any voices or images included in Your Content, and (e) you have authority to upload any documents you submit, and the documents do not contain trade secrets or confidential information of others that you are not authorized to share.

6.6 Group Conversations

The Service allows you to join group conversations shared with other members. If you join a group conversation: (a) content designated for the group (such as transcripts, notes, and documents shared to the group) is visible to the members of that group, not only to your personal account; (b) you permit us to aggregate your quiz and practice responses into class-level learning signals (such as answer distributions, measured problem difficulty, automatically generated follow-up problems, and counts of members who reviewed shared research) displayed to other members of that group, subject to the minimum-group-size protections described in our Privacy Policy (your individual answers are not shown to other members); (c) joining the group records your acknowledgment of the recording-consent obligations described in Section 4 as of the time you join; (d) any member of the group may export the conversation, including the full transcript and its speaker labels, to a document file; and (e) content you contributed to the group forms part of that group's shared record: if you leave the group, are removed from it, or delete your account, we remove your name from that content but the content itself remains available to the remaining members, and aggregated signals that no longer identify you may also persist, as described in the exceptions in Section 6.3.

7. Acceptable Use

You agree not to do any of the following, and not to help anyone else do them, in connection with the Service:

  • Use the Service to violate any law, including laws on recording consent, wiretapping, biometric privacy, intellectual property, defamation, harassment, fraud, or export control.
  • Access or use the Service from outside the United States or from the State of Illinois, or use any virtual private network, proxy, or similar technology to circumvent the geographic restriction in Section 2.3.
  • Record any individual without the consent legally required where you are located, where the other party is located, or where the recording will be processed.
  • Enroll any voice other than your own in speaker support, or use speaker support to identify, track, or profile another person.
  • Capture, upload, or process protected health information regulated by HIPAA, payment card data regulated by PCI-DSS, government-classified information, attorney-client communications belonging to others, or other information you are not authorized to handle.
  • Use the Service to cheat on an exam, assignment, or assessment, or otherwise violate academic-integrity policies that apply to you.
  • Attempt to re-identify or de-anonymize other members of a group conversation from aggregated group learning signals, or misuse content that other members have shared in a group conversation.
  • Reverse engineer, decompile, or attempt to derive the source code or models underlying the Service, except to the extent applicable law allows despite this restriction.
  • Use automated means (bots, scrapers, crawlers) to access the Service in a way that interferes with normal use, or attempt to bypass any access, rate, or capacity limit.
  • Probe, scan, or test the vulnerability of the Service or any related system, except under a written authorized-testing agreement with us.
  • Use the Service to send spam, phishing content, malware, or other malicious traffic.
  • Resell, sublicense, or commercially redistribute the Service to third parties without our written consent.
  • Use the Service for benchmarking against any competing product, except where this clause is unenforceable under applicable law.

8. Third-Party Services

The Service relies on certain third-party providers to function. As of the effective date of these Terms, these include Microsoft (Azure cloud hosting, Azure OpenAI and Azure AI Foundry for AI generation), Brave Search (for the web-grounding features of the research and transcript-correction tools), Hugging Face (content delivery for the speaker-separation model file), Twilio (delivery of SMS one-time passcodes for optional two-factor authentication), Postmark (delivery of the Service's automated email), and Stripe (payment processing and billing). The list is current as of the effective date and is updated in our Privacy Policy. Your use of features that depend on these providers is also subject to the providers' own terms and privacy practices. We are not responsible for the acts or omissions of third-party providers except as required by law or by our contracts with them.

9. Intellectual Property

We and our licensors own the Service, including its software, models, designs, interfaces, trademarks, logos, and all related intellectual property. Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal study, research, or internal business use. All rights not expressly granted are reserved.

"Praesto," "Praesto Logica," the Praesto logo, and related names and marks are our trademarks. You may not use them without our prior written consent.

10. Feedback

If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose, without compensation or attribution to you. You are not obligated to provide feedback.

11. Fees, Plans, and Refunds

This Section applies to subscriptions purchased on or after the Effective Date at the top of these Terms. Praesto has a free plan, and you are never charged unless you choose a paid plan and complete a purchase.

11.1 Plans and Prices

Praesto is offered on a free plan and on two paid monthly plans:

Plan Price Free trial for new subscribers
Free $0 —
Essential $9.99 per month 7 days
Pro $12.99 per month 30 days

Prices are in U.S. dollars and are exclusive of any taxes that may apply. The features included in each plan are described on our pricing page at praestologica.com. We may change what a plan includes, subject to Section 17.

11.2 Free Trials

A free trial is available to new subscribers only, once per person. We collect your payment method when the trial starts, and we do not charge it during the trial.

A trial converts to a paid subscription automatically. If you do not cancel before the trial ends, we charge your payment method the plan price on the day the trial ends, and the subscription renews monthly from that day. As a courtesy we send a reminder by email a few days before that first charge; the reminder is not a condition of the charge, and you should not rely on it in place of cancelling.

11.3 Automatic Renewal

Paid plans renew by themselves. By subscribing you authorize us, through our payment processor, to charge your payment method the then-current plan price every month until you cancel. Each renewal covers the following month. We do not ask you to confirm each renewal.

11.4 How to Cancel

You may cancel at any time, for any reason, from Manage billing in the Service or on our website, which opens the billing portal operated by our payment processor. You may also email [email protected] from the address on your account.

Cancellation stops the next renewal. It does not end the period you have already paid for: you keep your paid features until the end of the current billing period, and you are not charged again. Cancelling during a free trial ends the trial with no charge.

11.5 Failed Payments

If a renewal payment fails, we may retry it, and we may suspend your paid features or move your account to the free plan until payment succeeds. Your content is not deleted because a payment failed; the plan-related limits of the free plan apply again while you are on it.

11.6 Price Changes

We may change plan prices. A price change is a material change under Section 17, so we will give you at least 14 days' notice before it applies to you, and it takes effect no earlier than your next renewal after that notice. If you do not accept a new price, cancel before that renewal.

11.7 Refunds

We do not provide refunds for a billing period that has already started, or for time you did not use, except where a refund is required by law. The free trial is how you evaluate a paid plan before paying for it.

We may give a refund at our discretion, and we will consider a request made in good faith — for example a duplicate charge, a charge after a cancellation, or a charge you did not authorize. Write to [email protected] within 30 days of the charge. Where the law of your state gives you a refund right, that law applies and this paragraph does not limit it.

11.8 Payment Processing

Payments are processed by Stripe, LLC and its affiliates ("Stripe"). We do not receive or store your full card number. Your use of the payment pages and the billing portal is also subject to Stripe's own terms and privacy policy. Our Privacy Policy describes what billing information we hold.

11.9 Purchases Made Through an App Store

If you ever buy a Praesto subscription through a third-party app store rather than from us, that store handles the payment, the renewal and the cancellation, and that store's terms and refund rules govern that purchase. You cancel it in that store's account settings, not in Praesto, and we cannot refund it.

11.10 Taxes

You are responsible for any sales, use, value-added or similar taxes on your subscription, other than taxes on our income. Where we are required to collect a tax, it is shown to you before you pay.

12. Termination

12.1 By You

You may stop using the Service at any time. You may cancel a paid subscription as described in Section 11.4. You may delete your account in the app, or ask us to by emailing [email protected] from the address associated with your account; we will action verifiable deletion requests as described in our Privacy Policy.

Deleting your account also cancels any paid subscription on it, and that cancellation is immediate rather than at the end of the period — you lose the remainder of the period you paid for, and it is not refunded. If you want to use the time you have paid for, cancel the subscription under Section 11.4 and delete the account at the end of the period.

12.2 By Us

We may suspend or terminate your account or your access to the Service at any time, with or without notice, if (a) you violate these Terms, (b) you create a material risk of legal liability for us or for other users, (c) you have not used the Service for an extended period, (d) we discontinue the Service or a feature of it, (e) you appear to be accessing the Service from outside the eligible region described in Section 2.3, or (f) we are required to by law. Where possible and lawful, we will give you reasonable notice.

12.3 Effect of Termination

When your account is terminated, your right to use the Service ends immediately. We may delete Your Content after termination, subject to legal retention obligations and ordinary backup cycles described in our Privacy Policy. Sections that by their nature should survive (including Sections 4, 5, 6.5, 6.6, 7, 9, 11.7, 13, 14, 15, 16, 17, and 18) survive termination.

13. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, secure, error-free, or free of viruses or other harmful components, that transcripts will be accurate or complete, or that AI Outputs will be correct, complete, current, useful, or fit for any purpose. Some jurisdictions do not allow the disclaimer of implied warranties, so portions of this Section may not apply to you.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PRAESTO LOGICA, ITS AFFILIATES, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this Section may not apply to you. Nothing in these Terms limits any liability that cannot be limited by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Praesto Logica, its affiliates, and their officers, directors, employees, and agents from and against any claim, demand, loss, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to (a) Your Content, (b) your use or misuse of the Service, (c) any recording you make with the Service or that is made with the Service under your account, (d) your violation of these Terms, including Sections 2.3, 4, and 7, or (e) your violation of any law or any third-party right. We may assume exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us at your expense.

16. Dispute Resolution; Governing Law; Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO BRING A LAWSUIT OR JOIN A CLASS ACTION.

16.1 Informal Resolution First

Before filing a lawsuit, you agree to first try to resolve the dispute informally by sending a written notice to [email protected] describing the dispute, the relief you seek, and your contact information. We will try to resolve the dispute through good-faith discussions within 60 days of receiving your notice.

16.2 Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") that cannot be resolved informally will be brought exclusively in the state or federal courts located in Fairfax County, Virginia, and you and Praesto Logica LLC consent to the personal jurisdiction of those courts.

16.3 Class-Action Waiver

You and we agree that any Dispute will be resolved only on an individual basis. Neither you nor we may bring or participate in a class action, collective action, representative action, or consolidated proceeding. No court may consolidate or join the claims of more than one person. If a court decides that this Section 16.3 is unenforceable as to a particular claim or remedy, that claim or remedy (and only that claim or remedy) will proceed without the limitations of this Section 16.3, and the rest of this Section 16 will remain in effect.

16.4 Exceptions

Either of us may bring an individual action in small-claims court for any Dispute that qualifies, and either of us may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.

17. Changes to These Terms

We may change these Terms from time to time. We will post the updated Terms inside the Service and update the effective date at the top. If the change is material (for example, a change to how we handle Your Content, to recording, to fees, to our liability, or to the dispute-resolution provisions), we will provide at least 14 days' advance notice through the Service or by email, and we will ask you to affirmatively accept the updated Terms before you can continue using affected features. Non-material changes (for example, clarifying language or updating the list of third-party providers) take effect on the new effective date, and your continued use of the Service constitutes acceptance. If you do not agree to a change, you must stop using the Service.

18. General

18.1 Entire Agreement

These Terms and the Privacy Policy are the entire agreement between you and us about the Service and supersede any prior or contemporaneous agreements on the same subject.

18.2 Severability

If any part of these Terms is held to be unenforceable, the rest will remain in effect, and the unenforceable part will be modified to the minimum extent necessary to make it enforceable while preserving the parties' intent.

18.3 No Waiver

Our failure to enforce a provision is not a waiver of our right to enforce it later.

18.4 Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of assets.

18.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

18.6 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, outages of third-party providers, government actions, labor disputes, or network failures.

18.7 Notices

Notices to you may be sent to the email address associated with your account or posted within the Service. Notices to us must be sent to [email protected] and to Praesto Logica LLC, 1104 West Broad Street #1040, Falls Church, VA 22046, United States.

18.8 Export and Sanctions

You represent that you are not located in, and are not a national or resident of, any country or region subject to U.S. sanctions that would prohibit your use of the Service, and that you are not on any U.S. government list of restricted parties.
